Don't do this:  when planning to drink a few bottles of champagne to celebrate, buy one good one and then one OK one.  Twice I've followed up a glass of Veuve with a glass of something like Korbel or Freixenet.  You notice right away why they are priced differently.

What Musk is likely going to do is stall (loudly and publicly) until one of his bankers pulls his financing, then go "uh oh, I lost my financing, no deal!"

Funny story
I used to work in a hospital lab. one of our tests required the nurses to collect all the patient's urine for 24 hours.  normally they would, mix it and send over the 20mL required.  once a year or so someone would mess up and send the entire collection.  usually this was in the range of 2000-4500mL.  On of our new techs got one of these samples and while carrying over to the bench dropped it. it landed with the bottom square on the floor which caused ~1500 mL of urine to push out the stopper and shoot all over the poor girl.    1st and only time i've ever seen someone use the emergency shower.


basically she did to herself, accidentally, what EM is doing to himself intentionally and he is bragging about it.

I have not looked at the shorting pattern on Twitter and Tesla but musk could make the billion back and not have to pay the break up fee for years.

At one point it looked to me like Musk was trying to get Twitter to cancel, so they had to pay him $1 billion instead. Imagine being a big enough asshole that someone would pay you $1 billion to go away.

I read somewhere that this breakup fee getting referenced is in no way a useful escape from the deal he committed to. They can go to court to force the sale at the agreed upon price, it has been done before successfully. People just think twitter won't do it because it would take too long. I think they might be willing to burn the house down as long as Elon is sitting in it.

That's always been my favorite interpretation of why the partygoers got pissed at Jesus for turning water into wine.  They accused him of saving the good stuff for after they'd gotten tipsy on the crappy wine.

The breakup fee only applies if he can't close the deal. Like the financing falls through or something. As long as he can buy Twitter, he's contractually obligated to do it.

I don't understand how they're able to operate in Texas right now. I can post some Nazi stuff and then sue when Twitter deletes it. Was that stay...struck...appealed, or whatever? 5th Circuit.

Probably, but the lawyers will still need to pull that out of him with a pair of vice grips through the nostrils. Figuratively, of course. Unless he snorted a billion. Which I wouldn't put it past him.

Jeez. After all of the threads on this, people still don't understand the breakup fee.

The fee only comes into play if something out of Musk's control happens that blows up the deal, such as his financing not coming through.

If he breaks the contract, Twitter can sue him to the point of forcing him to honor the contract and go through with the deal at the original price.

For Musk to break the contract and escape legal liability, he would need to prove that Twittered committed some kind of massive fraud. But even if that were true, Musk's claim will be weak because he rushed the due diligence.

The champaign is being popped because Twitter holds all of the cards.

Don't worry, I'm sure that any day now, ol' Musky will prove that Twitter committed massive fraud, and will do so so convincingly that the executives will have no choice but to PAY Musk to take Twitter off their hands.

I imagine it will happen around the same time that Donald Trump overturns the 2020 elections and locks the entire Democratic Party up for Pizzagate.

Musk has figured out which side his online defenders, white knights, and various other lackeys. Which really should not have taken him this long given that they are essentially poor people cheering for a billionaire.
